DOVER, Del. (AP) — Attorneys for a group of Tesla shareholders are asking the Delaware Supreme Court to overturn a judge’s decision in favor of CEO Elon Musk in a lawsuit challenging the electric car maker’s $2.4 billion acquisition of a solar panel company founded by two of his cousins. The plaintiffs argued Wednesday that a Chancery Court judge erred in finding that Tesla’s deal to acquire SolarCity in 2016 was “entirely fair,” even though the judge found that the process by which Tesla’s board of directors negotiated and recommended the deal to shareholders was “far from perfect.”“Elon was more involved in the process than a conflicted fiduciary should be. And conflicts among other Tesla Board members were not completely neutralized,” former Vice Chancellor Joseph Slights wrote last year. “With that said, the Tesla board meaningfully vetted the acquisition, and Elon did not stand in its way. LAKE BUENA VISTA, Fla. (AP) — Board members picked by Florida Gov. Ron DeSantis to oversee the governance of Walt Disney World said Wednesday that their Disney-controlled predecessors pulled a fast one on them by passing restrictive covenants that strip the new board of many of its powers. The current supervisors of the Central Florida Tourism Oversight District said at a meeting that their predecessors last month signed a development agreement with the company that gave Disney maximum developmental power over the theme park resort’s 27,000 acres in central Florida. The five supervisors were appointed by the Republican governor to the board after the Florida Legislature overhauled Disney’s government in retaliation for the entertainment giant publicly opposing so-called “Don’t Say Gay” legislation that bars instruction on sexual orientation and gender identity in kindergarten through third grade, as well as lessons deemed not age-appropriate.In taking on Disney, DeSantis f...Closing arguments end in murder trial of former Presidente supermarkets owner
